Role of InstaXchange
InstaXchange, a brand operated by NOOS sp. z o.o. ('InstaXchange', 'we', 'us'), operates a technology aggregation platform (the 'Website', the 'Services') that enables Users to access independent, regulated crypto-asset service providers ('Licensed Providers') for fiat-to-crypto and crypto-to-fiat conversion transactions ('Conversion Transactions').
This Risk Disclaimer is intended to inform Users about the risks associated with the use of the Website and the Services, and, by extension, with cryptoassets and Conversion Transactions executed by Licensed Providers accessed through the Website. InstaXchange is not a party to any Conversion Transaction, does not execute, settle, or confirm transactions, and does not hold or control any User funds or cryptoassets at any stage. Risks relating to the execution, pricing, custody, or settlement of a Conversion Transaction are risks of the relevant Licensed Provider and are addressed in the terms and risk disclosures of that Licensed Provider, which the User must review separately.
The User accesses and uses the Website and the Services entirely at their own risk. Prior to using the Website, the Services, or any Licensed Provider accessed through the Website, the User must carefully consider whether the risks described in this Risk Disclaimer, together with any other applicable risks, are acceptable in light of the User's individual circumstances.
InstaXchange strongly encourages the User to seek independent professional advice (including legal, tax, financial, technical, or other advice) regarding their specific situation before using the Services.
If any of the risks described herein are unacceptable to the User, the User should refrain from using the Website and the Services.
General Risks
At any given time, the Website and the Services may have specific functionality and utility. However, the Website, the Services, and their underlying features may undergo significant changes over time.
InstaXchange reserves the right to modify, update, suspend, or discontinue any aspect of the Website or the Services, including but not limited to terms and conditions, structure, functionality, source code, infrastructure design, and technical specifications, at any time and without prior notice, to the extent permitted by applicable law. InstaXchange also reserves the right to add or remove Licensed Providers accessible through the Website at any time.
The development and operation of the Website and the Services may encounter financial, technical, operational, or resourcing difficulties. Certain features or functionalities may be delayed, modified, or never implemented.
The Website and the Services rely heavily on internet connectivity and third-party infrastructure, including the infrastructure of Licensed Providers. Due to the public nature of the internet, interruptions, delays, data corruption, data loss, or loss of confidentiality may occur. System errors, outages, or failures may arise at any time, including outages or failures originating from a Licensed Provider's own systems, over which InstaXchange has no control.
The User acknowledges that the use of online platforms and trading systems involves inherent risks, including but not limited to:
- hardware or software failures;
- internet or network connectivity issues;
- cyber-attacks or unauthorized access;
- introduction of malicious software;
- phishing, spoofing, or social engineering attacks;
- viruses, spyware, scareware, Trojan horses, worms, or other malware;
- failures or disruptions of third-party systems or services, including those of Licensed Providers.
InstaXchange does not guarantee uninterrupted, secure, or error-free operation of the Website, the Services, or any Licensed Provider's systems.
Cryptocurrency Risks
Cryptocurrency markets are decentralised and are generally not regulated to the same extent as traditional financial or investment services. As a result, Users do not benefit from the protections typically available under regulated investment frameworks, including those established under the EU Markets in Financial Instruments Directive (MiFID).
There is no central authority or central bank capable of intervening to stabilise or protect the value of cryptoassets. The value of cryptoassets is determined by supply and demand and may be highly volatile, unpredictable, speculative, and susceptible to market manipulation.
Cryptoassets may experience extreme price fluctuations, including rapid and substantial losses in value. In the worst-case scenario, a cryptoasset may become illiquid or effectively worthless.
Past performance is not indicative of future performance. The value of cryptoassets acquired through a Conversion Transaction with a Licensed Provider may increase or decrease significantly, and the User may suffer a partial or total loss of the funds used. Pricing, execution, and settlement of any Conversion Transaction are determined and performed exclusively by the relevant Licensed Provider, and InstaXchange has no influence over, and assumes no responsibility for, such pricing, execution, or settlement.
Additional risk factors affecting the value of cryptoassets include, but are not limited to, political, economic, regulatory, legal, credit, market, and technological risks, as well as changes in foreign exchange rates.
Due to the pseudonymous or anonymous nature of certain cryptoasset transactions, cryptoassets may be used in connection with illegal activities. Regulatory or law enforcement actions related to such activities may adversely affect the availability, usability, or value of cryptoassets, the Services, and the availability of Licensed Providers through the Website.
Cryptoassets should be regarded as a high-risk asset class. Users should never use funds they cannot afford to lose and should only use the Services if they have sufficient knowledge, experience, and understanding of the risks involved.
Blockchain Risks
Blockchain networks are independent, decentralised, peer-to-peer networks that are not owned, operated, or controlled by InstaXchange or, to InstaXchange's knowledge, by any Licensed Provider.
InstaXchange does not control, maintain, or guarantee the underlying protocols, software, or networks governing the operation of any cryptoasset. These protocols are generally open-source and may be modified or updated by third parties without notice.
The User acknowledges that blockchain networks may be subject to:
- software bugs or vulnerabilities;
- protocol changes, forks, or consensus failures;
- network congestion or delays;
- attacks on the network or its participants;
- regulatory or legal restrictions.
InstaXchange shall not be responsible for any failure, error, breach, malfunction, or disruption occurring within any blockchain network or related infrastructure, nor does it guarantee the functionality, security, or availability of such networks.
