General

These Terms and Conditions ('Terms'), along with the Privacy Policy ('Policy'), constitute the agreement established by and between NOOS sp. z o.o. (also referred to as 'We', 'Us' or 'Our') and the User (also referred to as 'You' or 'Your') by virtue of the User using the InstaXchange website and/or the Services.

NOOS sp. z o.o. is a Polish private limited liability company registered under the laws of the Republic of Poland, with its registered address at ul. Stefana Batorego 18, 02-591 Warszawa, Poland (KRS: 0001142087, NIP: 4660436409, REGON: 540335260).

InstaXchange is a brand operated by NOOS sp. z o.o. as a technology aggregation platform that enables Users to access fiat-to-crypto and crypto-to-fiat conversion services provided by independent, regulated crypto-asset service providers ('Licensed Providers'). InstaXchange does not itself execute, settle, or confirm any conversion transaction, and does not hold a crypto-asset service provider licence under Regulation (EU) 2023/1114 (MiCA) or equivalent regulation, on the basis that it does not provide regulated crypto-asset services in its own name.

By signing up through the Website, You agree that You have read, understood, and accept all of the Terms. If You do not agree or fail to adhere to the Terms, You are not entitled to use the Services.

NOOS reserves the right to update or amend these Terms at any time, at its sole discretion. In the event of any changes, the date of the last update will be indicated at the beginning of the Terms. By continuing to access or use the Services after the updated Terms have been published, the User is deemed to have accepted the updated Terms.

Before using the Services, the User must carefully assess whether purchasing, selling, or exchanging cryptoassets is appropriate in light of the User's financial situation, objectives, and level of experience. Transactions involving cryptoassets involve a high degree of risk, including the risk of loss, and the value of cryptoassets is subject to significant volatility. InstaXchange does not provide custodial wallet services and does not hold virtual assets or fiat funds on behalf of Users at any stage.

The Website and the Services are NOT ADDRESSED TO AND MAY NOT BE USED BY:

• natural persons who are under the age of eighteen (18);

• persons who are subject to any jurisdiction where the use of the Services is prohibited by applicable laws or regulations;

• persons whose access to the Services has previously been suspended or terminated.

Definitions

'Account' — any account opened by a User with InstaXchange, through which the User may access and use the Services.

'Cryptoasset' — a digital representation of value that does not have the legal status of currency or money, is not issued or guaranteed by any central bank or public authority, but is accepted by natural or legal persons as a means of exchange and can be transferred, stored, and traded electronically.

'Know Your Customer' or 'KYC Process' — the identification and verification process conducted exclusively by the relevant Licensed Provider in connection with a Conversion Transaction, in accordance with applicable law. InstaXchange has no role in, and does not perform, any part of the KYC Process in respect of a Conversion Transaction.

'Licensed Provider' — an independent, regulated crypto-asset service provider holding the applicable regulatory authorisation in its jurisdiction of operation, which is made accessible to Users through the Platform and which executes Conversion Transactions in its own name and as principal.

'Conversion Transaction' — a fiat-to-crypto or crypto-to-fiat conversion transaction initiated by a User via the Platform and executed exclusively by a Licensed Provider.

'Services' — the technology aggregation services made available to Users through the Platform by InstaXchange from time to time, enabling Users to access and select Licensed Providers.

'Terms' — these Terms and Conditions, including all sections and documents incorporated by reference, as amended from time to time.

'User' — any natural or legal person who accesses or uses the Website and/or the Services.

'Website' — the website available at https://instaxchange.com.

Services Description

The Services enable the User to access and select Licensed Providers through the Platform in order to initiate Conversion Transactions. InstaXchange is solely a provider of technical aggregation infrastructure and does not sell cryptoassets, does not convert fiat currencies into cryptoassets, and does not act as a Licensed Provider itself in any way.

InstaXchange is not a party to any Conversion Transaction entered into between a User and a Licensed Provider. All such transactions are governed exclusively by the terms and conditions of the relevant Licensed Provider, which the User must review and accept prior to initiating a Conversion Transaction.

InstaXchange retains the exclusive right to determine the functionality, scope, and availability of the Services, and to suspend, restrict, or discontinue the Services, in whole or in part, at its discretion. InstaXchange does not guarantee the availability of any particular Licensed Provider at any given time.

Materials and information made available through the Services, including indicative rates displayed by Licensed Providers, may contain technical, typographical, or content-related errors and may be subject to change. InstaXchange does not warrant the accuracy, completeness, or timeliness of any such information.

Role of InstaXchange and Licensed Providers

All pricing, exchange rates, fees, execution, settlement, custody arrangements, and identity verification in connection with a Conversion Transaction are determined and performed exclusively by the relevant Licensed Provider. InstaXchange does not set, control, or influence exchange rates or fees, does not execute or settle any Conversion Transaction, and does not at any point receive, hold, or control any User fiat funds or cryptoassets.

Cryptoassets purchased through a Conversion Transaction are transferred directly by the relevant Licensed Provider to a wallet designated by the User. Fiat funds resulting from the sale of cryptoassets are transferred directly by the relevant Licensed Provider to a payment account designated by the User. At no point do such funds or assets pass through any account, wallet, or instrument operated by InstaXchange.

InstaXchange does not guarantee the execution, completion, or timing of any Conversion Transaction. Any dispute, delay, error, refund, chargeback, or other matter relating to the execution of a Conversion Transaction must be addressed directly with the relevant Licensed Provider in accordance with its own terms and conditions and complaints procedure.

KYC and Identity Verification

Identity verification ('Know Your Customer' or 'KYC'), sanctions and PEP screening, transaction monitoring, and all related compliance functions in connection with a Conversion Transaction are performed exclusively by the relevant Licensed Provider selected by the User, using the Licensed Provider's own systems and procedures. The User completes identity verification directly within the Licensed Provider's onboarding interface, which may be embedded within the Platform.

InstaXchange does not collect, receive, store, process, or have access to any identity documentation or KYC data submitted by Users to a Licensed Provider in connection with a Conversion Transaction. Any decision to approve, reject, suspend, or restrict a User's access to a Licensed Provider's services on KYC or AML grounds is made exclusively by that Licensed Provider. For the avoidance of doubt, this does not preclude InstaXchange from conducting its own preliminary identification, verification, or risk-screening checks as part of its own onboarding and oversight of the Platform, in accordance with applicable law and its AML Disclaimer.

Registration and Account

In order to access and use the Services, the User must create an account on the Platform ('Account'). The User may open only one Account and only if it is lawful to do so under the laws and regulations applicable in the User's country of residence.

By creating an Account, the User agrees to:

• provide accurate, truthful, current, and complete information when creating or updating the Account;

• maintain the security and confidentiality of login credentials and restrict access to the Account and the devices used to access the Platform;

• promptly notify InstaXchange if the User becomes aware of, or reasonably suspects, any unauthorized access, security breach, or misuse of the Account;

• refrain from any illegal, fraudulent, defamatory, threatening, abusive, or harassing conduct;

• not impersonate any other person or entity;

• not conceal or misrepresent the User's location through the use of IP proxying, VPNs, or other technical means intended to circumvent geographic or legal restrictions;

• accept full responsibility for all activities carried out through the Account, whether authorized or unauthorized;

• comply with all applicable laws, regulations, and regulatory requirements in connection with the use of the Services.

Account Termination and Closing

The User may request the closure of their Account at any time by submitting a request via the support channels made available on the Website.

InstaXchange reserves the right to suspend, restrict, or terminate an Account, with or without prior notice where permitted by applicable law, in the event of: a material or repeated breach of these Terms; suspected or confirmed illegal, fraudulent, or abusive use of the Services; submission of false, misleading, incomplete, or inaccurate information; or the User posing an unacceptable legal, regulatory, or fraud risk to InstaXchange or to a Licensed Provider.

InstaXchange shall not be liable for any losses or damages suffered by the User as a result of the suspension, restriction, or termination of the Account where such action is taken in accordance with these Terms or applicable law.

Fees

All fees, spreads, and charges applicable to a Conversion Transaction are determined and disclosed to the User by the relevant Licensed Provider prior to execution, in accordance with that Licensed Provider's own pricing and fee structure. InstaXchange does not set, control, or influence any such fees.

Risks Associated with the Services

Any activity involving cryptoassets and related services involves significant risks. The User acknowledges and agrees that:

• the value of cryptoassets may be highly volatile and subject to significant fluctuations, which may result in partial or total loss of value;

• cryptoassets and related technologies may be subject to technical risks, including vulnerabilities, bugs, protocol changes, forks, or failures of underlying networks;

• cryptoassets are not issued, backed, or guaranteed by any central bank or public authority and do not necessarily constitute legal tender;

• regulatory, legal, or tax treatment of cryptoassets may change, which may adversely affect the use, transfer, or value of cryptoassets and the availability of the Services;

• all Conversion Transactions are executed by Licensed Providers and not by InstaXchange, and risks relating to the performance, solvency, or conduct of a Licensed Provider are risks of that Licensed Provider and not of InstaXchange.

The User is solely responsible for assessing the risks associated with the use of the Services and is encouraged to seek independent legal, financial, tax, or other professional advice where uncertain. The Services are accessed and used entirely at the User's own risk. Additional information regarding risks associated with the Services is available in InstaXchange's Risk Disclaimer.

Trademarks and Intellectual Property

The User acknowledges that all rights, title, and interest in and to the Website, the Services, and any related intellectual property are owned by or lawfully licensed to NOOS sp. z o.o. and are protected by applicable intellectual property laws.

Except as expressly permitted under these Terms, the User is granted a limited, non-exclusive, non-transferable, revocable right to access and use the Website and the Services solely for personal, lawful, and non-commercial purposes.

The Website may contain links to Licensed Providers' websites or resources. Such websites are not under the control of InstaXchange, and InstaXchange does not assume any responsibility for the content, accuracy, legality, availability, or practices of such third-party websites or resources.

Warranties

InstaXchange uses reasonable efforts to ensure the proper functioning, availability, and continuity of the Website and the Services. However, the User acknowledges that uninterrupted, error-free, or secure operation of the Website cannot be guaranteed at all times.

The Website and the Services are provided on an 'as is' and 'as available' basis, to the fullest extent permitted by applicable law. InstaXchange expressly disclaims all warranties, representations, and conditions of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, or availability.

InstaXchange makes no representations or warranties regarding the legitimacy, availability, suitability, security, or reliability of the conversion services offered by any Licensed Provider, as InstaXchange has no control over the performance of such Licensed Providers.

Limited Liability

To the fullest extent permitted by applicable law, NOOS sp. z o.o., its affiliates, shareholders, directors, officers, employees, agents, contractors, and representatives shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, or loss of business opportunity, arising out of or in connection with the use of, or inability to use, the Website or the Services.

As InstaXchange is not a party to any Conversion Transaction, InstaXchange shall not be liable for any damages of any kind related to a Conversion Transaction or the contractual relationship between a User and a Licensed Provider, including but not limited to execution delays, failed transactions, incorrect pricing, custody failures, or KYC-related decisions.

InstaXchange shall not be responsible for delays, failures, or disruptions in the operation of the Platform caused by events beyond its reasonable control, including failures of telecommunications, information systems, third-party infrastructure, blockchain networks, payment systems, governmental actions, changes in law or regulation, or force majeure events.

Cap on Liability

To the extent permitted by applicable law, the total aggregate liability of InstaXchange to the User for any and all claims arising out of or in connection with the Services shall not exceed EUR 100.

Exceptions

Nothing in these Terms shall exclude or limit the liability of InstaXchange for damages resulting from its own gross negligence, fraud, or wilful misconduct, or for any liability that cannot be excluded or limited under mandatory applicable law. In such cases, the liability of InstaXchange shall be limited to the minimum extent required by such law.

Indemnity

The User agrees to indemnify, defend, and hold harmless NOOS sp. z o.o., its affiliates, shareholders, directors, officers, employees, agents, contractors, and representatives from and against any and all claims, actions, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (i) the User's use or misuse of the Website or the Services; (ii) the User's breach of these Terms; (iii) the User's violation of any applicable law or regulation; or (iv) the User's infringement of any rights of any third party.

Entire Agreement

This is the entire agreement between the parties and supersedes any other agreement, representations, or understanding, however communicated, in respect of the subject matter hereof.

Complaints Resolution

Complaints relating to the operation of the Website or the Platform may be submitted by contacting InstaXchange via the support channels made available on the Website. Complaints relating to the execution, settlement, pricing, or performance of a Conversion Transaction must be directed to the relevant Licensed Provider in accordance with its own complaints procedure, as InstaXchange is not a party to such transactions.

InstaXchange shall acknowledge receipt of any complaint within its remit and examine it in a fair and timely manner. This complaints procedure does not prejudice the User's right to seek redress through competent supervisory authorities, alternative dispute resolution mechanisms, or courts, where such rights are granted under applicable law.

Applicable Legislation and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Poland, without regard to its conflict of laws principles.

Any claim, dispute, or cause of action arising out of or in connection with these Terms or the User's use of the Services shall be subject to the jurisdiction of the competent courts of Warsaw, Poland, unless mandatory consumer protection laws applicable to the User require otherwise.
